The Poudre Pet Pals Loyalty Rewards Program (the “Program”) sponsored by Poudre Pet and Feed Supply, Inc (Poudre Pet and Feed Supply) is designed to help you get the most out of your membership. We reward you for doing the things you already do: shop at your local Poudre Pet and Feed Supply. Best of all, you can use the points you earn to receive special products!

The following Loyalty Rewards Program Terms and Conditions (these “Terms and Conditions”) contain important information regarding the Program. Please read the following Terms and Conditions carefully. You agree to be bound by these Terms and Conditions and all terms incorporated herein by reference. If you do not agree to these Terms and Conditions, do not access or participate in the Program.

Participating in the Program entitles Poudre Pet Pals members (“Members”) to take advantage of certain Program reward items (“Rewards”) that will change from time to time and, which may be made available for limited times, all as determined by Poudre Pet and Feed Supply in its sole discretion. Poudre Pet and Feed Supply reserves the right to modify these Terms and Conditions at any time, without notice to you, so it is important to check the Terms and Conditions periodically. Participation in the Program or redemption of Rewards is considered acceptance of these Terms and Conditions and any modified terms included therein.

Upon notice, Poudre Pet and Feed Supply may, in its sole and absolute discretion, cancel, change, suspend or modify any aspect of the Program or any Program Reward at any time, including the availability of any Program Reward.

Please read the Privacy Statement carefully to understand how Poudre Pet and Feed Supply collects, uses and discloses information about customers, how to update or change your personal information, and how we communicate with you.

SECTION 1 - PROGRAM PERIOD

This Program will continue until terminated, suspended, modified, or converted to another rewards program by Poudre Pet and Feed Supply (the “Program Period”).

SECTION 2 - ELIGIBILITY

The Program is intended for personal use only. Commercial use is prohibited. The Program is not targeted towards, nor intended for use by, anyone under the age of 13. If you are between the ages of 13 and 18, you may access and participate in the Program only under the supervision of a parent or legal guardian who agrees to be bound by these Terms and Conditions. To become a Member of the Program, you must be a legal resident of the fifty (50) United States. To enroll in the Program, you simply need to register your existing Poudre Pet and Feed Supply account to be part of the Program (see store clerk for assistance). You must provide a valid mailing address and valid email address at the time of enrollment. You do not need to agree to receiving marketing communications to earn Points in the Program.

SECTION 3 - EARNING POUDRE PET PALS POINTS

Once you have become a Member, you can begin racking up Poudre Pet Pals Points (“Points”) the following ways:

• Shop in Store — Every time you purchase a qualifying product from one of our stores, you earn 1 Point for every whole $1 spent per order (excluding tax, shipping charges and fees). Online purchases do not qualify for Points at this time.
• Special Promotions — From time to time, Poudre Pet and Feed Supply may establish (at its sole discretion) loyalty criteria pursuant to which Members may earn Points (such as, for example: by registering for this Program at a special event; by purchasing a specific product; by engaging in certain specified activities at the PoudreFeed.com website; by engaging in certain specified activities related to social networks).

Upon notice, Poudre Pet and Feed Supply reserves the right to suspend, terminate, revalue or modify, without liability to Members, all or part of the Points value structure and offers and any merchandise or service. Poudre Pet and Feed Supply reserves the right to adjudicate all Points discrepancies in its sole discretion, and the Members agree to abide by any such adjudication.

SECTION 4 - POUDRE PET PALS POINTS REDEMPTION

The Points are redeemable towards purchases of eligible Reward items. You can redeem your Points during the checkout process in store. You may not redeem Points to make purchases online.

To redeem your Points, simply bring a qualifying Reward item to a store register and let the clerk know you want to pay with Points. It’s that simple.

Points are available for redemption for the purchase of eligible Reward products only. Reward products may be time-limited or available only in limited quantities. If you choose to apply Points to your Reward purchase, you will not be able to select the amount of your Points that are applied to the order. If you have more Points than are necessary to complete a Reward purchase, the appropriate number of Points will be applied and deducted from your account to complete the purchase; Points not needed to complete the Reward purchase will remain in your account. If you have Points in your account, but not enough to complete the Reward purchase, all Points in your account will be applied to the Reward. You will be asked for another form of payment to cover the remaining balance. For example, if a Member has a $5 order of eligible Reward items, and has 50 Points (equal to $2.50), she may apply all Points to the purchase and pay the remainder with her credit card or cash. She may NOT select to use a partial amount of 25 Points (equal to $1.25) towards the Reward purchase and pay the balance with her credit card or cash.

SECTION 5 - REFUNDS & RETURNS

Any Reward items received as a result of Points redemption may not be returned for a refund of the applicable redeemed Points or exchanged for a different Reward item or other product.

SECTION 6 - POUDRE PET PALS POINTS MINIMUMS AND MAXIMUM

You cannot redeem Points for more than the total amount of your purchase. Points are not redeemable for cash.

SECTION 7 - POUDRE PET PALS POINTS BALANCE

You can always ask a clerk for your Points balance. This balance is also available on qualified receipts.

SECTION 8 - REWARD CONDITIONS

Rewards are taxable, depending on the value of the item and the federal, state, and local tax laws applicable. Members are solely responsible for paying any associated tax liability. Members may not assign or transfer any Rewards. Poudre Pet and Feed Supply makes no warranty in any respect as to any Rewards, merchandise or service available within the Program.

SECTION 9 - TERMINATION

Poudre Pet and Feed Supply may, in its sole and absolute discretion, cancel, change, suspend, or modify any aspect of the Program and/or any Reward at any time, including the availability of any Reward. Poudre Pet and Feed Supply may, in its sole and absolute discretion, terminate or suspend any Member’s participation in the Program for breach of these Terms and Conditions, or for taking any actions that are inconsistent with the intent of these Terms and Conditions. Poudre Pet and Feed Supply reserves the right at its sole discretion to prohibit any Member from participating in any aspect of the Program if Poudre Pet and Feed Supply deems or suspects that such Member has engaged in or has attempted to engage in any of the following: (a) acting in violation of these Terms and Conditions; or (b) damaging, tampering with or corrupting the operation of the Program; or (c) acting with intent to annoy, harass or abuse any other person; or (d) any inappropriate, uncooperative, disruptive, fraudulent, potentially fraudulent, or unusual behavior or activity; or (e) activity deemed in the sole discretion of Poudre Pet and Feed Supply to be generally inconsistent with the intended operation of the Program. Any decision Poudre Pet and Feed Supply makes relating to termination or suspension of any Member’s participation in the Program shall be final and binding in all respects. Poudre Pet and Feed Supply shall be the sole determiner in cases of suspected abuse, fraud, or breach of these Terms and Conditions or intent of these Terms and Conditions.

SECTION 10 - RELEASE

Except for willful misconduct or gross negligence on the part of Poudre Pet and Feed Supply, by participating in the Program, Members release Poudre Pet and Feed Supply, affiliates, suppliers, advertising and promotions agencies and their respective directors, officers, employees, and agents (collectively, “Released Parties”) from any and all liability for any loss, harm, damages, cost or expense, including, without limitation, property damages, personal injury and/or death, arising out of or in any way connected to the Program or the use of any Rewards.

SECTION 11 - INDEMNIFICATION

Members agree to indemnify, defend and hold Poudre Pet and Feed Supply and its representatives and agents harmless from and against any and all third party claims, demands, liabilities, costs or expenses, including attorney’s fees and costs, arising from, or related to any breach by Member of any of these Terms and Conditions or any violation by Member of applicable law.

SECTION 12 - GOVERNING LAW

The laws of the State of Colorado shall govern these Terms and Conditions. Member hereby expressly consents to exclusive jurisdiction and venue in the courts located in Colorado for all matters arising in connection with these Loyalty Program Terms and Conditions or Member’s participation in the Program.
